4.2 Payment Terms: Full payment is required at the time of purchase. Accepted payment methods will be specified during the checkout process.
4.3 Order Cancellation: Orders may be subject to cancellation if payment is not successfully processed.
5. Shipping
5.1 Shipping Options: Domestic shipping methods are available during the checkout process. Shipping charges and estimated delivery times are determined based on the destination, selected carrier, and chosen shipping method.
5.2 Order Processing and Delivery Estimates: Orders are processed and dispatched during standard business hours. Please note that delivery estimates provided by carriers are not guaranteed and may be subject to variations due to factors such as weather conditions, carrier operations, and other unforeseen circumstances.
5.2 Shipping Insurance
5.2.1 Optional Election: Customers may select shipping insurance at checkout to cover loss, damage, or misdelivery during transit. Selections must be made at purchase—retroactive additions are not allowed.
5.2.2 Liability Without Insurance: Once a package is in the carrier’s possession without insurance, BioClinx LLC disclaims responsibility for any loss, damage, delay, or incorrect delivery.
5.2.3 Claim Filing Deadlines
Claims must be submitted within the following timeframes:

Damaged, incorrect, or incomplete shipments: Within 48 hours of delivery confirmation.

Lost shipments (undelivered): Within 7 days of the expected delivery date.
5.2.4 Required Documentation
To initiate a claim, the customer must submit:

The order number and tracking information.

Photos of any damaged items, packaging, and product labels (if applicable).

Carrier confirmation or tracking showing non-delivery (for lost packages).
5.2.5 Coverage & Limitations

Compensation is limited to the original purchase value or a replacement of the item(s).

If the Company offers a replacement or store credit, the customer waives the right to request a refund for the same claim.

Improper storage or handling after delivery

Tampered vials

Theft after confirmed delivery

Carrier delays or missed delivery windows

Regulatory or customs hold

Once a package is marked as delivered by the carrier, BioClinx LLC can no longer file a claim on your behalf.

If you suspect your package has been stolen after delivery has been confirmed, you must file a theft report with your local authorities.
5.2.4 Claim Processing

Claims will be reviewed within 5–10 business days.

Compensation will be issued at the Company’s sole discretion and may be provided in the form of a refund, replacement, or store credit.
5.2.5 Insurance Fee Non-Refundable

The shipping insurance fee is non-refundable. If an item is returned for a refund, the original shipping insurance cost will not be reimbursed.
6. Refund and Return Policy
6.1 Eligibility for Refunds or Replacements

Unopened and sealed products may be returned for a full refund or replacement within 30 days of delivery.

Opened products may be eligible for a refund or replacement only if:

Clear documentation (e.g., photos) is provided showing potential defects such as damaged packaging or quality issues, and

The issue is reported within 5 Business days of opening the product.

6.2 How to Request a Refund or Replacement

6.3 Processing Refunds

Approved refunds will be processed within 5–7 business days after the returned product is received or the issue is validated.

6.4 Exceptions and Conditions

Refunds or replacements will not be provided for products damaged due to improper handling, mixing, storage, attempted use, or any deviation from proper laboratory procedures after delivery.

The Company reserves the right to deny any return or refund request if there is evidence of tampering, attempted use, or product degradation.

All returns must be received in their original packaging with intact labeling and seals
7. Force Majeure
- The Company shall not be held liable for any failure or delay in fulfilling orders due to events beyond its reasonable control, including but not limited to:

- Pandemics
- Labor strikes
- Government actions
- Supply chain disruptions
8. Jurisdiction and Governing Law
8.1 Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the internal laws of the State of Arizona, without regard to its conflict-of-law principles.
8.2 Informal Dispute Resolution
In the event of any dispute arising out of or relating to these Terms or our services, the parties agree first to seek an amicable resolution by informal negotiation. If unresolved within a reasonable period, either party may initiate formal proceedings as described below.
8.3 Exclusive Jurisdiction and Venue
Any dispute that remains unresolved through informal means shall be resolved exclusively in the state or federal courts located in Pima County, Arizona. Both parties irrevocably submit to the personal jurisdiction and venue of these courts, and waive any objections based on inconvenient forum or personal jurisdiction .
8.4 Waiver of Venue Objections
Each party waives any objection to venue in such courts, including any claims of forum non conveniens or lack of personal jurisdiction.
9. Amendments to Terms and Conditions
9.1 Right to Modify
The Company reserves the right to modify or update these Terms and Conditions at any time, at its sole discretion.
9.2 Effective Date of Changes
Any revised Terms shall become effective immediately upon being posted on the Company’s website. It is the User’s responsibility to review the Terms periodically.
9.3 Acceptance of Changes
By continuing to access or use the website or purchase products after posting of updated Terms, the User accepts and agrees to be bound by the modified Terms
10. Order Cancellation Policy
10.1 Cancellation Prior to Shipment
Customers may request to cancel an order before it has been processed and shipped by contacting the Company at bioclinx@gmail.com.
If the order has not yet entered processing, a full refund will be issued to the original payment method.
10.2 Cancellation After Shipment
Once an order has been shipped, it is no longer eligible for cancellation.
However, customers may be entitled to a return and refund in accordance with the Company’s Refund & Return Policy, provided that the item is returned unopened, unused, and in its original sealed packaging.
Return shipping costs are the responsibility of the customer unless the item is received in a defective or incorrect condition.
10.3 Unsuccessful Payment Completion
Orders for which payment is not successfully completed or verified may be canceled automatically at the Company’s discretion.
10.4 Chargebacks and Payment Disputes
Unauthorized chargebacks will be actively disputed and may result in:

Recovery of associated fees, including but not limited to administrative, legal, and third-party collection costs
Customers are strongly encouraged to contact the Company at bioclinx@gmail.com to resolve any issues prior to initiating a chargeback. Chargebacks made without first attempting to resolve the issue directly may result in permanent loss of purchasing privileges.
11. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be deemed modified or severed to the minimum extent necessary to render it valid and enforceable, while preserving its original intent. All remaining provisions shall continue in full force and effect.
12. Waiver
Except as expressly provided herein, no failure or delay by either party in exercising any right, power, or remedy under these Terms shall operate as a waiver thereof. Additionally, no waiver of any breach of these Terms shall be construed as a waiver of any subsequent breach, whether of the same or a different nature.
13. Entire Agreement
These Terms and Conditions, together with the Privacy Policy, Waiver Agreement, and Disclaimer, constitute the complete and exclusive agreement between you and BioClinx LLC, including its affiliates and partners, concerning the subject matter herein. This agreement supersedes and replaces all prior or contemporaneous agreements, representations, or understandings, whether written or oral, relating to such subject matter.
14. Assignment
14.1 Assignment by the Company: The Company reserves the right to assign or transfer this Agreement, in whole or in part, to any third party at its sole discretion, without prior notice to you.
14.2 Assignment by the Customer: You may not assign or transfer any of your rights or obligations under this Agreement, whether by operation of law or otherwise, without the prior written consent of the Company. Any attempted assignment without such consent shall be void and of no effect.
